Terms of Use (Evaluation)

These terms govern your use of Intelayer during the evaluation (trial) period. By connecting your business books, you agree to them, to the Privacy Notice, and to the Data Processing Authorization & Agreement. Please read them first.
Status — provisional POC values (pre-incorporation). Operating name, address, and grievance contact below are current provisional particulars; they will be updated to the registered company details on formal incorporation. Legal review recommended before wider launch.
1. Evaluation nature
Intelayer is provided for evaluation by Akshat Singhal, operating as Intelayer (pending formal incorporation). Features, availability, and data may change during this period as the product is refined with you. Either party may end the evaluation as set out below.
2. Authorisation to connect your data
By connecting your accounting and business systems, you confirm you are authorised to share those records with Intelayer, and you authorise Intelayer to process them as your Data Processor under the Data Processing Authorization & Agreement. You remain the Data Fiduciary for that data.
3. Decision support, not a system of record
Intelayer is a decision-support tool. It sits on top of your existing books and does not replace them. Your accounting system remains your system of record, and Intelayer reads from it without altering it.
4. No professional advice
Intelayer does not provide accounting, legal, tax, or audit advice. Outputs are decision support only. You remain responsible for the correctness of your source books and for the business actions you take.
5. Acceptable use
Use Intelayer only for your own lawful business purposes. Do not attempt to disrupt the service, gain unauthorised access, reverse-engineer it, or misuse the accounts or data of others. Do not connect data you are not authorised to share.
6. Your account and access
You are responsible for keeping your login credentials secure and for the actions of the users you authorise. Tell us promptly if you believe an account has been compromised.
7. Intellectual property
Intelayer, its software, and its interfaces remain the property of Intelayer. Your business data remains yours; nothing here transfers ownership of your data to Intelayer.
8. Availability and support
During the evaluation we aim to keep Intelayer available and to respond to support requests promptly, but we do not guarantee uninterrupted or error-free service.
9. Warranties and limitation of liability
To the maximum extent permitted by law, during the evaluation Intelayer is provided "as is" and "as available", without warranties of any kind. To the maximum extent permitted by law, Intelayer's aggregate liability arising out of or relating to the evaluation is limited, and it is not liable for indirect, incidental, or consequential loss, or for loss of profit or data. Nothing here excludes liability that cannot be excluded by law.
10. Termination and your data
You may end the evaluation at any time. On termination, your data is handled as described in Section 7 of the Data Processing Authorization & Agreement and the "How long we keep it" section of the Privacy Notice.
11. Governing law
These terms are governed by the laws of India, and the courts at Varanasi, India, have jurisdiction, without prejudice to any mandatory consumer or data-protection rights.
